Job Opportunity – Corporate Paralegal

We are looking for a corporate paralegal to join our growing team. This role will focus on supporting lawyers in corporate transactions, corporate governance, and general business law matters. The ideal candidate will bring experience in managing and preparing corporate records, incorporations, due diligence, and business transaction support. This position offers the opportunity to work closely with a team of experienced professionals in a collaborative and flexible environment.
Primary Duties:
- Prepare and file corporate documents for incorporations, amendments, continuations, amalgamations, and dissolutions for BC companies, societies and federal corporations and not for profit corporations
- Maintain and update corporate minute books and records, including share registers and directors’/officers’ ledgers
- Prepare annual maintenance documents and coordinate filings with registries
- Assist with due diligence processes including organizing and reviewing corporate records and preparing summaries or reports for clients
- Prepare closing agendas and closing documents for share and asset purchase transactions
- Coordinate and assist with execution of documents and closing procedures
- Draft standard agreements and corporate resolutions
- Conduct corporate and personal property security searches
- Assist with regulatory filings (e.g., securities filings, business name registrations, extraprovincial registrations)
- Support lawyers in ongoing corporate reorganizations and related transactions
Training, Skills and Experience:
- Experience working in a corporate/commercial legal practice with +5 years experience
- Strong understanding of corporate law processes and compliance requirements
- Familiarity with corporate records software and electronic filing systems (e.g., ALF, BC Online and federal online filing systems)
- Working knowledge of federal corporations and compliance under the Canada Business Corporations Act (CBCA)
- Proficiency in Office, ALF and Adobe
- Excellent written and verbal communication skills with a professional and courteous manner
- Strong organizational skills and the ability to manage multiple deadlines effectively
- Attention to detail and ability to work independently and as part of a team
Salary & Benefits:
- Annual Salary of $70,000 – $90,000, depending on experience
